These terms and conditions govern your access to, and use of, Socialepods (herein referred as SEP) which includes the ‘website’ and service, both on desktop as well as mobile device (‘app’ powered by My Glue), operated by Dating Moments Pte Ltd.

 

When you use, engage or join Socialepods, you have expressly agreed to abide to all the terms & conditions stated by Socialepods by Dating Moments. Here, “You” is referred as the clients and/or members of Socialepods.

 

SEP reserves the right to amend, modify or change any of the terms and conditions in this document at any time and without prior notice. In terms of any disputes, SEP reserves the right to have the final say.

Definitions

 

1. Socialepods: refers to this service and  inclusive of all services, add-ons, branding and systems offered by us.

2. Terms: means these terms and conditions that apply to our Website, App, and all other services we provide.

3. Privacy policy: means the privacy policy that applies to our Website, App, and all other services we provide, and which is available at https://www.socialepods.com/privacy-policy.

4. We and Us: refers to the management team at Socialepods.

5. Our: refers to the property belonging to the management team at Socialepods.

6. You: refers to you, the user, the member and the customer of Socialepods.

7. Banned: refers to you being permanently removed from the Socialepods service.

 

1. Eligibility

 

By using Socialepods, you agree and declare that:

• You are at least 21 years old and in good state of mind and emotional health.

•  You are Single i.e. unmarried, widowed or divorced (for those who are separated, you are not eligible to engage this Service till the final court order or its equivalent has been granted for the dissolution of the marriage).

• You are mentally and emotionally well.

• You are not currently, and have not declared bankruptcy

•  You have not been convicted of any crimes in Singapore and/or any other countries.

•  You will provide identification cards or other documents to us as needed. They will be required as part of our verification process.

•  If you have an unspent conviction, or are subject to any court order, relating to assault, violence, sexual misconduct, or harassment you may not use the Website or App and we will be entitled to remove Your Account.

• If you are banned from our Website or App, you will be permanently barred from using our service.

•  Users that post objectionable content on the Website or App will be removed from the Website and App

•  We may change, suspend, or discontinue any aspect of the service at any time, including hours of operation or availability of the service or any feature, without notice or liability.

2. Use of Service

This is a free membership whereby:

• You agree to provide current, complete and accurate information when creating your Account and when using the App and Website. You agree to keep Your Account information updated.

• Represent and warrant that you are the user of the contact information provided by you in the registration form; no multiple accounts are allowed.

• We will be conducting a 5-minute screening video call with you which we reserve the right to reject your registration.

• You will be allowed to join our events and/or any networking activities.

• You will be included in our local and global matching database and you may be allocated opportunities to meet people on a 1 to 1 basis.

• At any time, you are to adhere proper code of conduct and not to harass, threaten, defame, hurl abuses, not limiting to these, to other members/clients and our staffs. In the event if any of the members infringes this code of conduct, his/her membership with us will be suspended or terminated immediately. We reserve the final right to take legal actions against the offender.

• All your Information and Profile Photo provided would only be used for dating purposes, unless otherwise required by law for release of information.  

 

3.Information and Content

 

• All information given by you are true and accurate.

• You agree that you are and shall remain solely responsible for the contents of any submissions you make, and you will not submit material that is unlawful, defamatory, misleading abusive, obscene or offensive. You agree that you will not submit anything to the Online Platform that will violate any right of any third party, including copyright, trademark, privacy or other personal or proprietary right(s).

•  SEP reserves the right to delete or ban any Contents posted by users which might be false, misleading, offensive, abusive, defamatory, obscene or illegal etc. When deemed necessary, SEP may reserve the rights to terminate the Services (without any refunds) and take up legal actions for those who violate this provision.

•  Information provided to SEP would only be utilized on the platform unless otherwise required by law for release of information. General information and description of yourself will only be revealed to your match prior to the date.

• All information provided to you through the SEP Service shall be kept strictly private and confidential.  You would refrain from disclosing or discussing any portion of the Information with any third person or entity without our prior consent. This must be adhered to even when you are no longer a Member of SEP.

• SEP’s service is for your own personal use only. You should not use the Service in connection with any commercial endeavors, such as (i) advertising or soliciting any other of our members to buy or sell any products or services not offered by us or (ii) soliciting others to attend parties or other social functions, or networking, for commercial purposes. You should not use any information obtained from SEP to contact, advertise to, solicit, or sell to any member without his or her prior explicit consent. We reserve the right to undertake legal action against the offender.

• Your Account is meant for personal use only and you may not create more than one account at any time. You may not authorize others to use your account, and you may not assign or otherwise transfer Your Account to any other person or entity. You are responsible for keeping your username and password confidential and acknowledge that SEP is not responsible for third party access to Your Account that results from sharing, theft or misappropriation of your username and password. We strongly encourage you to choose a secure password that is hard to guess. Do not reveal your password to anyone. If you think your password has been compromised, please change it immediately via the ‘My Account’ page.

• Please be careful with disclosing information via Your Account. You may not publish any personal contact information on Your Account, such as your (post) address, email address, telephone number, instant messaging contact details or website URL. In addition, for your safety, you may not include personal contact information in messages to members who have not previously contacted you.

• Your safety and personal integrity are important to us. Your (chat) messages are strictly confidential. We do use filter software that notifies us of (chat) messages with inappropriate content (e.g. offensive or aggressive language, or unlawful use of our platform for advertisements or link-building. Also see the enumeration under the heading “Restrictions on information and content” in the below). After such notification we reserve the right to erase the content in question.

• After registration as a member of SEP, we will in principle not monitor the information or content you share via the Website or App. We do however reserve the right to use filter software. In case we are notified by this software of inappropriate content, or in case we are notified of this by other members, we reserve the right to block the content in question.

 

By submitting, providing, transmitting or otherwise sharing information and content via the Website or App, you grant us a non-exclusive, royalty-free, worldwide license of any rights, including intellectual property rights, on such information and content, to (re)publish and otherwise use any such content in any format on the Website, App or in ads or other shielded areas that are only accessible by other members of SEP.

4. Restrictions of Information and Contents

1. You will not post, transmit, communicate or share information or content via the Website or App, that:

   • are illegal, obscene, defamatory, threatening, intimidating, harassing, hateful, racially, or ethnically offensive, or instigate or encourage conduct that would be illegal, or otherwise inappropriate, including promoting crimes.

   • contains video, audio photographs, or images of another member without his or her permission

   • requests money from, or is intended to otherwise defraud, other members of the Service.

   • promotes illegal activities, not limiting to these, such as posting an unauthorized copy of another person's copyrighted work, providing pirated computer programs/ links, providing information to circumvent manufacture installed copy-protect devices, or providing pirated music/ links to pirated music files etc

   • solicits passwords or personal identifying information for commercial or unlawful purposes from other members.

   • publicizes or promotes commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, and pyramid schemes.

2. You will immediately cease contact with any member who asks you to stop contacting them.

   • You will not post, copy, modify, disclose or distribute via our Website or App:

   • any confidential information; or

   • any other material which is subject to our or a third party's (intellectual property) rights, e.g. a picture of you taken by a professional photographer, without first obtaining our or the relevant third party's prior written consent.

 

  3. You agree to absorb any costs brought upon by any claims or damages (including any legal fees in relation to such claim or damages) demanded by a third party in respect of any matter relating to or arising from any breach or suspected breach by you of these Terms or the rights of a third party.

 

4. We reserve the right to issue warnings, suspend access to Your Account or terminate Your Account, if we reasonably consider that you are in breach of these Terms.

5. Risks and Precautions

• We do not conduct (Criminal) background checks in relation to members of SEP.

• You are solely responsible for taking all appropriate safety precautions in connection with the use of the website, app and when communicating with other members. You accept that there are risks interacting online or offline with other members, including dating and meeting other members.

• We do not guarantee or verify the accuracy of information provided to you by other members.

• SEP makes every effort to keep the information made available on the website and app accurate and up to date, but we do not guarantee that the information is accurate, complete or current. No rights can be derived from it. Any reliance on the provided information is at your own risk.

• We do not warrant that the website or app will be available uninterrupted and in a fully operating condition. All content and services on the website or app are provided on an “as is” and “as available” basis. Any decisions or actions taken by you on the basis of the information provided on or via the website and app are at your sole discretion and risk.

 

6. Reporting disputes and other issues

Please report any behaviour you encounter which is in breach of these Terms via contactus@socialepods.com, including any behaviour which may be harmful, threatening, harassing or unlawful behaviour.

If you wish to report another member, you can inform us by sending a message to one of the admins.

We are not obliged to become involved in any domestic or private disputes between members and do not provide any arbitration- or settlement-service.

7. Third Parties

The Website and App may include links to third party websites and applications. You are responsible for evaluating whether you want to access or use them. We are not responsible for and do not endorse any features, content, advertising, products, or other materials on other websites or applications. You assume all risk and we disclaim all liability arising from your use of them.

Your correspondence or business deals with, or participation in promotions of, advertisers or sweepstakes sponsors found on or through the Website or App (including payment and delivery of related goods or services, any personal information or opt-in contact information voluntarily given to advertisers and sweepstake sponsors, and any other terms, conditions, warranties, or representations associated with such dealings) are solely between you and such advertiser.

You agree that SEP will not in any way whatsoever be responsible or liable for any claim, loss or damage of any sort incurred, directly or indirectly, as the result of any such dealings.

 

8. Events

• SEP organizes physical events and workshops for its members who are  in  Singapore only. We have the right to refuse members to events for any reason. The events are on a first come and served basis. We do not refund for no-shows, or late arrivals of special guests in relation to any event.

• Online Events will be available for all Members.

• Purchased tickets will not be refunded by SEP (powered by GlueUp).

• We have the right to cancel events at any time and at our discretion.

• Photographs taken at events & workshops organized by us may be used for promotional purposes.

• Both SEP and the venue/partner will not accept responsibility or liability whatsoever for any kind of injury, loss or damage suffered by any person to their property while present at an event, whatsoever or howsoever that injury, loss or damage is caused.

• You acknowledge that you are responsible for your own safety and well-being during SEP Events. You understand and agree that neither SE nor their staffs would not be held liable or responsible for any personal injuries, loss, liabilities or damages, not limiting to these, arising from taking part in this event or as a result of the negligence of any party.

• SEP reserves the rights to close the registration prior to the closing date stated.

• For all SEP events, there will not be a minimum amount of participants for the event to commence. However, SEP reserves the right to cancel or postpone/amend the event/activity due to unforeseen circumstances.

• You are to adhere to a proper code of conduct and not to harass, threaten, defame, hurl abuses, not limiting to these, to other participants and employees of Socialepods during the event. In the event you infringe this code of conduct, SEP reserves the final right to ask you to leave the event immediately and no refunds would be made

• You are to practice your own discretion when interacting with other participants during all events that you have registered for. You shall be responsible for any information you voluntarily disclose to others. SEP would not be liable for any harm, mishaps, damages or loss as a resultant of your own disclosure.

• You are responsible for your own behaviour, actions and speech during all your registered events and workshops, SEP will not be responsible for any damages you cause others participants during such activities.

• You are to assume true identity at all times and not impersonate any person or entity. SEP reserves the final right to take legal actions against the offender, should the above be compromised in any manner.

• You are strictly Not Allowed to record videos, take photos, distribute or share any videoconferencing materials, photographs or any visible content from any of our events without the written consent from Socialepods. Failure to comply will subject you to full legal penalties and charges.

• Should you require any clarification, information or assistance with regards to the SEP Event, please consult the SEP Consultants before registration and participation in the respective DM Events

• SEP reserves the right to reject the provision of SEP Events & Workshops for whatever reason, to any person. If payment has been made, full refund will be made accordingly.

9. PERSONAL DATA NOTICE & CONSENT

The information you provide in this Registration Form is to enable SEP to:

• register and contact you about your attendance at the event;

• carry out administrative and planning activities for the event;

• plan and develop future activities and opportunities;

• facilitate the requirements in relation to the event;

• allow the compilation and analysis of statistics relevant to the event; (hereinafter referred to collectively as “Purposes”)

 

By submitting your Registration Form, you:

• have read, understood and consent to the above provisions.

• represent and warrant that you are the user and/or subscriber of the telephone number(s) provided by you in this form;

• consent that your personal data may be disclosed by SEP to its third party service providers, agents or collaborators, for one or more of the above Purposes, as such third party service providers, agents or collaborators, if engaged by SEP, would be processing your personal data for one or more of the above Purposes.

SEP seeks to include each event participant’s name, identification and full contact details into the SEP Marketing List to enable dissemination of information about future activities and opportunities. Should you wish to withdraw your consent to be contacted for this purpose stated above after registration, please inform SEP your intent to withhold consent in writing to contactus@socialepods.com. Please allow 5 business days for your withdrawal of consent to take effect.

By attending the event, you consent to the use of your photograph, voice, likeness, and image in any broadcasts of this event and in subsequent productions drawn from video or audio recordings of this event. The photographs and recordings may be published or broadcasted in the official SEP and affiliates’ publications and in publicity materials, including the SEP and affiliates’ websites and social media. All recordings, articles, quotes, photographs, films, audio or video and/or any reproductions of same in any form, are the property of SEP. SEP, its affiliates, employees, representatives and agents are released from any and all claims, demands, costs and liability that may arise from the use of these interviews, recordings, photographs, videotapes or films, and/or any reproductions of same in any form, as described above, arising out of being interviewed, recorded, photographed, videotaped or filmed.

It is the responsibility of event participants to remove themselves from group and candid shots/recordings that the photographers/videographers intend to capture, if they do not wish to have their photos/audio-visual recordings taken at the event.

 

10. Intellectual Property Rights

SEP is the exclusive owner of all intellectual property rights (such as patents, patent applications, trademarks, trademark applications, service marks, trade names, copyrights, trade secrets, licenses, domain names, mask works, information, proprietary rights, processes copyrights and trademarks) that vest in the design and content of the Website, App and the underlying software and database.

The Website and App are intended solely for your personal, non-commercial use. Any other use of the Website and App requires prior written permission of SEP.

11. Third Party Disputes

SEP is not affiliated with any third party service, and any dispute you may have with any third party service or other third party, including, without limitation, any other user of the service, is directly between you and such third party, and you irrevocably release SEP from any and all claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

12. Limitation of liability

• In no event will SEP and its affiliates, officers, employees, agents, partners and licensors be liable for any damages relating to the decision whether or not an applicant is allowed as a member of inner circle.

•  We will provide SEP service to you with reasonable skill and care. We do not make any warranties or representations (neither express nor implied) with respect to the Website, App or the associated services.

•  In no event will SEP and its affiliates, officers, employees, agents, partners and licensors be liable for any damages whatsoever, whether direct or indirect, general, special, compensatory, consequential, and/or incidental, arising out of, or relating to, the conduct of you or anyone else in connection with the use of services, including (but not limited to) bodily injury, emotional distress, loss of business, lost profits, trade secret misappropriation, intellectual property infringement, and/or any other damages resulting from communications or meetings with other members or persons you meet through our website or app, or resulting from any other service we provide.

•  You hereby expressly agree not to hold SEP liable for any instruction, advice, or services delivered through our website or app. SEP expressly disclaims any liability whatsoever for any damage, suits, claims, and/or controversies that arise or relate in any way to our website or app.

• You expressly understand and agree that SEP will not be liable for direct, indirect, incidental, special, consequential, or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses, resulting from:

               - the use or inability to use the website or app;

              - the cost of procurement of substitute goods and services resulting from any goods, data,                   information or services obtained or messages received or transactions entered into                             through, from, or as a result of the website or app;

              - unauthorized access to or alteration of your transmissions or data; statements or conduct                   of any user or third party on the website or app;

             - your reliance on content data made available by us; or any other matter relating to the                       website or app.

 

• Nothing in these Terms shall exclude or limit our liability for our fraudulent misrepresentation or for death or personal injury resulting from our negligence or the negligence of our employees or agents.

•  To the fullest extent possible by law, SEP’s maximum liability arising out of or in connection with the website or app or your use of our content, regardless of the cause of action (whether in contract, tort, breach of warranty, or otherwise), will not exceed the greater of the fees you have paid to SEP.

  

13. Indemnity

You agree to defend, indemnify, and hold harmless SEP from and against any claims, actions, or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from (a) your use of or reliance on any third-party content, (b) your use of or reliance on any content of the website or app, (c) your own content on your account, or (d) your breach of these terms or the privacy policy. We will provide notice to you promptly of any such claim, suit, or proceeding.

 

14. Others

SEP can be acquired for a part or in whole by another company. This will be done without (written) notice.

If you breach these Terms and we take no action against you, we will still be entitled to use our rights and remedies in any other situation where you breach these Terms.

If any part of these Terms is disallowed or found to be void by any court or regulator, the other provisions shall continue to apply. We will adjust these Terms as necessary, in which case the invalid terms will be replaced by valid terms that differ the least from the concerned invalid terms.

These Terms are not intended to give rights to anyone except you and us.
